Item 8.01 Other Events
As previously disclosed, on January 28, 2021, Andina Acquisition Corp. III, a Cayman Islands exempted company (“Andina”) entered into a Business Combination Agreement related to a proposed business combination with Stryve Foods, LLC (the “Business Combination”).
On June 28, 2021, Andina issued a press release announcing that, as of June 25, 2021, the Securities and Exchange Commission (the “SEC”) has declared effective the registration statement on Form S-4 (the “Registration Statement”) filed by Andina in connection with the Business Combination and that a special meeting (the “Meeting) of Andina’s shareholders will be held on July 19, 2021 at 10:00 a.m., Eastern Time. The purpose of the Meeting is to vote on certain proposals related to the Business Combination that are disclosed in the definitive proxy statement/prospectus included in the Registration Statement. A copy of the press release is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K.
